ESOP-owned companies often build operations and value through organic growth and/or acquisitions. This session will discuss recent increases in M&A activity, with the panelists highlighting recent experiences with ESOP-owned companies in today’s market. The speakers, who run the gambit from ESOP company advisors to an officer of an ESOP-owned company, will identify certain competitive advantages of ESOP companies as businesses and discuss alternative acquisition structures. The group will consider how an ESOP company might identify appropriate target(s) and procedural prudence considerations, including when and how the ESOP trustee and other fiduciaries might be involved in the process.
