Interest in ESOP holding companies is growing, especially for more mature ESOPs. After the transaction debt is paid down, Sub S ESOPs tend to generate significant cash, which can be reinvested in their core business or used to acquire other businesses. We will discuss valuing ESOP holding companies, why the holding company structure can be an interesting option for existing and potential ESOPs, and some of the challenges that come from the growth and operation of a holding company.
